7.1 AI Functionality

The Services may include artificial intelligence, machine learning, automated analysis, optimization, prediction, or third-party AI technologies.

8.5 Duration

Confidentiality obligations relating to ordinary Confidential Information shall continue for ten (10) years from the applicable disclosure.

Information qualifying as a trade secret shall remain protected for so long as it remains legally protectable as a trade secret.

LOOPXP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND OTHER IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

LoopXP does not warrant that the Services will be uninterrupted, completely error-free, or suitable for every particular business purpose.

  1. (a)Customer Data provided by Customer in violation of applicable law or third-party rights;
  2. (b)Customer's unlawful use of the Services;
  3. (c)Customer's material violation of Section 3.3; or
  4. (d)Customer's independent business operations, except to the extent caused by LoopXP's breach of this Agreement.

10.2 LoopXP Intellectual Property Indemnification

LoopXP shall defend Customer against a third-party claim alleging that Customer's authorized use of the Hosted Services directly infringes a United States copyright, patent, or trademark and shall pay damages finally awarded or settlements approved by LoopXP arising from such claim.

LoopXP shall have no obligation to the extent a claim arises from:

  1. (a)Customer Data;
  2. (b)unauthorized modification of the Services;
  3. (c)use contrary to this Agreement or Documentation;
  4. (d)combination with products, technology, or services not supplied or authorized by LoopXP where the combination causes the claim; or

LoopXP may obtain continued usage rights, modify or replace affected Services, or terminate the affected Services and refund prepaid Fees attributable to the unused remainder of the applicable Subscription Term.

10.3 Indemnification Procedure

The indemnified Party shall provide prompt notice of a covered claim and reasonable cooperation.

The indemnifying Party shall control the defense and settlement, provided it may not enter into a settlement admitting wrongdoing by or imposing material non-monetary obligations upon the indemnified Party without reasonable consent.

ARTICLE XI – LIMITATION OF LIABILITY

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL ARISING FROM THIS AGREEMENT, EVEN IF ADVISED OF THEIR POSSIBILITY.

11.2 Liability Cap

EXCEPT AS PROVIDED IN SECTION 11.3, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO LOOPXP UNDER THE APPLICABLE ORDER FORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.1 Applicability of MSA

This MSA applies to each Order Form that incorporates it for the duration of the applicable Subscription Term and for any applicable survival period.

12.2 Subscription Terms

The Subscription Term applicable to particular Services shall be stated in the applicable Order Form.

12.3 Termination for Cause

Either Party may terminate an affected Order Form for material breach if the breach remains uncured thirty (30) days after written notice.

12.4 Immediate Protective Suspension

LoopXP may immediately suspend affected access where LoopXP reasonably determines that Customer's use:

  1. (a)presents a material security threat;
  2. (b)involves unauthorized access;
  3. (c)materially violates Section 3.3;
  4. (d)infringes or misappropriates LoopXP Technology;
  5. (e)is unlawful; or
  6. (f)materially threatens the integrity, security, availability, or operation of the Services.

12.7 Survival

Sections concerning intellectual property, use restrictions, Customer Data, confidentiality, accrued payment obligations, disclaimers, indemnification, limitations of liability, trade secrets, remedies, dispute provisions, and other obligations intended by their nature to survive shall survive expiration or termination to the extent necessary to give them effect.

ARTICLE XIII – TRADE SECRETS AND EQUITABLE RELIEF

13.1 Trade Secret Protection

Nothing in this Agreement limits rights or remedies available to either Party under applicable state or federal trade-secret law.

13.2 Equitable Relief

The Parties acknowledge that unauthorized disclosure of trade secrets, misuse of Confidential Information, or unauthorized copying, reverse engineering, disclosure, or exploitation of intellectual property may cause harm for which monetary damages alone may be inadequate.

Subject to applicable law, the injured Party may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable relief in addition to other available remedies.

ARTICLE XIV – GOVERNING LAW AND DISPUTES

14.1 Good-Faith Resolution

Before initiating litigation, the Parties shall make reasonable good-faith efforts to resolve disputes through representatives authorized to resolve the matter.

This requirement does not prevent either Party from seeking immediate injunctive or equitable relief where reasonably necessary to protect intellectual property, Confidential Information, Customer Data, security, or trade secrets.

14.2 Governing Law

This Agreement and all disputes arising from or relating to it shall be governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

14.3 Venue and Jurisdiction

Any action arising out of or relating to this Agreement shall be brought in the state courts located in Jackson County, Missouri, or, where federal subject-matter jurisdiction exists, the United States District Court for the Western District of Missouri.

Customer consents to such jurisdiction and venue to the extent permitted by applicable law.

14.4 Attorneys' Fees

In an action to enforce this Agreement arising from a material breach, the prevailing Party shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by applicable law.

ARTICLE XV – GENERAL PROVISIONS

15.1 Independent Contractors

LoopXP and Customer are independent contractors.

Nothing in this Agreement creates a partnership, joint venture, franchise, fiduciary relationship, employment relationship, or agency between the Parties.

15.2 Assignment

Customer may not assign or transfer an Order Form or this Agreement without LoopXP's prior written consent, which shall not be unreasonably withheld.

Either Party may assign this Agreement in connection with a merger, reorganization, change of control, or sale of substantially all assets relating to this Agreement, provided the successor assumes the applicable obligations.

Customer may not assign this Agreement to a direct competitor of LoopXP without LoopXP's prior written consent.

15.3 Force Majeure

Neither Party shall be liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, labor disruptions, internet or telecommunications failures, utility outages, war, terrorism, civil unrest, epidemics, or widespread third-party infrastructure failures.

Force majeure does not excuse payment obligations already accrued.

15.4 Notices

Legal notices under this Agreement shall be in writing and delivered by personal delivery, nationally recognized overnight service, certified mail, or electronic mail where receipt can reasonably be confirmed.

Customer's notice information shall be the information contained in the applicable Order Form unless subsequently updated in writing.

Notices to LoopXP shall be directed to the business or legal contact information designated by LoopXP.

15.5 Entire Agreement

This MSA together with applicable Order Forms and incorporated documents constitutes the complete agreement between the Parties concerning the applicable Services and supersedes prior or contemporaneous agreements, proposals, representations, or communications concerning the same subject matter, except where expressly preserved in writing.

15.6 Order of Precedence

In the event of a conflict, this MSA shall control unless an applicable Order Form expressly:

  1. (a)identifies the specific provision of this MSA being modified; and
  2. (b)states that the identified provision is superseded or modified for that Order Form.

A modification in one Order Form applies only to that Order Form unless expressly stated otherwise.

15.7 Amendments

Except for updates applicable prospectively to future Order Forms, amendments affecting an existing Order Form must be agreed to in writing by authorized representatives of the Parties.

LoopXP shall not materially modify the contractual terms governing an existing committed Subscription Term merely by posting a revised MSA online unless Customer has agreed to the modification or the applicable Order Form expressly permits such modification.

15.8 Waiver

Failure or delay in enforcing a provision does not waive that provision or any later breach.

15.9 Severability

If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in effect.

15.10 No Third-Party Beneficiaries

Except as expressly provided, this Agreement creates no rights or remedies in any third party.

15.11 Electronic Acceptance and Signatures

The Parties consent to electronic transactions.

An electronic record, electronic signature, electronic acceptance, or electronically executed Order Form shall have the same force and effect as a paper record or handwritten signature to the extent permitted by applicable law.

Customer's electronic acceptance or execution of an Order Form that expressly incorporates this MSA constitutes acceptance of this MSA.

15.12 Authority

Any individual executing or electronically accepting an Order Form represents that the individual has authority to bind Customer.

15.13 Headings

Headings are provided for convenience and do not limit or modify the meaning of this Agreement.

15.14 Counterparts

An Order Form may be executed in counterparts and through electronic means, each of which shall be deemed an original and all of which together constitute one instrument.

ARTICLE XVI – ACCEPTANCE THROUGH ORDER FORM

This MSA does not require a separate Customer signature where Customer executes or electronically accepts an Order Form that expressly incorporates this MSA.

Each applicable LoopXP SaaS Proposal or Order Form should identify the version or Effective Date of this MSA being incorporated.

By executing or electronically accepting such Order Form, Customer acknowledges that:

  1. (a)Customer received or was provided reasonable access to this MSA before acceptance;
  2. (b)Customer had an opportunity to review this MSA;
  3. (c)Customer agrees to be legally bound by this MSA; and
